These Terms of Service ("Terms") govern your access to and use of the services provided by Middlebox Solutions, Inc. ("Middlebox," "we," "us," or "our"). Please read these Terms carefully before using our services.

By accessing or using the Middlebox website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Description of Services

Middlebox provides enterprise AI transformation services, including but not limited to: AI consulting and strategy, custom AI/ML model development, cloud infrastructure and deployment, data engineering and analytics, and ongoing managed AI services. Specific service scope, deliverables, and timelines are defined in individual Statements of Work (SOWs).

Eligibility

Our services are available only to business entities and individuals who are at least 18 years old and have the legal capacity to enter into binding agreements. By using our services, you represent and warrant that you meet these requirements.

Account Registration

Certain features of our services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

Intellectual Property

All content, trademarks, logos, and materials on this website are the property of Middlebox or its licensors and are protected by intellectual property laws. Custom AI models, algorithms, and software developed under a SOW shall be owned by the client as specified in the applicable SOW.

Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and confidential information exchanged during the course of the engagement. This includes business strategies, technical data, AI models, training datasets, and any other information marked as confidential.

Warranties and Disclaimers

Middlebox warrants that our services will be performed in a professional and workmanlike manner. We do not warrant that our services will be error-free, uninterrupted, or that they will meet all specific requirements. AI-generated outputs are provided "as is" and should be reviewed by qualified personnel.

Limitation of Liability

To the maximum extent permitted by law, Middlebox shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability shall not exceed the fees paid by you for the services during the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Middlebox and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses arising from your use of our services or violation of these terms.

Termination

Either party may terminate an engagement in accordance with the termination provisions of the applicable SOW. Middlebox may suspend or terminate your access to our services immediately if you violate these terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in San Francisco, California.

Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of our services after any changes constitutes acceptance of the new Terms.
